1. Agreement to these Terms

These Terms of Use (“Terms”) govern your access to and use of the Briz mobile application and related services (the “Platform”), operated by Karobar Digital Pvt. Ltd., a company registered in Nepal (“Briz”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Platform.

If you are using the Platform on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

2. What Briz is — and is not

Briz is a location-based marketplace that connects customers seeking products (“Customers”) with nearby sellers who may be able to supply them (“Sellers”). A Buyer posts a request describing what they need; nearby Sellers may respond with offers; the Buyer and Seller may then communicate through the Platform’s in-app chat to discuss and finalize a deal.

Briz is a venue and an introduction service only. We are not a party to any transaction, agreement, or communication between a Buyer and a Seller. We do not buy, sell, supply, inspect, warehouse, deliver, or take ownership of any product offered or requested through the Platform. We do not process or handle payment for transactions between Buyers and Sellers; all payment and delivery arrangements are made directly between the Buyer and the Seller, off the Platform.

Accordingly, the contract for any product is solely between the Buyer and the Seller. Briz is not responsible for the existence, quality, safety, legality, pricing, availability, or accuracy of any product, offer, listing, or representation made by any user.

3. Eligibility and accounts

Eligibility. You must be at least 18 years old and legally capable of entering into a binding contract under the laws of Nepal to use the Platform.

Registration. You must provide accurate, current, and complete information when you register and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

One account. You may not maintain multiple accounts in a way intended to deceive other users or circumvent these Terms, and you may not transfer your account to another person without our consent.

Verification. We may, but are not obliged to, verify the identity or business details of users. Verification (including any badges) does not constitute a guarantee or endorsement by Briz of any user.

4. Buyer responsibilities

As a Buyer, you agree to:

post requests that are accurate, lawful, and made in good faith with genuine intent to transact;
not request prohibited, illegal, or restricted items (see Section 7);
communicate respectfully with Sellers and honor commitments you make;
independently assess the suitability, quality, and price of any product or Seller before transacting;
arrange payment and delivery directly with the Seller, and exercise your own judgement and caution while doing so, including when meeting in person or sharing personal contact details; and
comply with all applicable laws in connection with your use of the Platform.

You understand that posting a request does not obligate any Seller to respond, and that offers are not guaranteed.

5. Seller responsibilities

As a Seller, you agree to:

provide accurate information about your business and the products you offer;
respond to requests honestly, and not falsely claim to have an item available when you do not — false availability claims undermine the Platform and may result in penalties or removal;
offer only products you are legally permitted to sell, and comply with all licensing, registration, tax, consumer-protection, labelling, and other legal requirements that apply to your business and products;
honor the prices, availability, and terms you represent to Buyers;
fulfil transactions you agree to in good faith, and handle delivery, warranties, returns, and after-sales matters directly with the Buyer;
be solely responsible for collecting, reporting, and remitting any taxes arising from your sales; and
comply with all applicable laws in connection with your use of the Platform.

You are solely responsible for your listings, offers, communications, and transactions. Briz does not guarantee that you will receive any requests, offers, or sales.

6. Transactions between users

Because transactions are arranged and completed directly between Buyers and Sellers off the Platform:

Briz is not responsible for, and disclaims liability for, the negotiation, performance, payment, delivery, quality, or outcome of any transaction;
any dispute, claim, refund, warranty, or after-sales issue regarding a product or transaction is between the Buyer and the Seller, who are responsible for resolving it between themselves;
while we may, at our discretion, offer tools or assistance to help users resolve disputes (including reviewing in-app chat records), we are under no obligation to do so and are not an arbiter, guarantor, or insurer of any transaction; and
you are responsible for taking reasonable precautions in all interactions, including verifying the other party and the product before paying or delivering.

7. Prohibited items and conduct

You may not use the Platform to request, offer, sell, or facilitate any item or activity that is illegal or restricted under the laws of Nepal, or that we prohibit, including but not limited to:

weapons, ammunition, explosives, and related parts;
illegal drugs, controlled substances, and related paraphernalia;
prescription medicines or regulated medical products offered in breach of applicable law;
counterfeit, stolen, or unlawfully obtained goods;
products that infringe the intellectual property or other rights of third parties;
hazardous materials offered in breach of applicable safety law;
wildlife, protected species, or products restricted under conservation law;
any item whose sale requires a licence the Seller does not hold; and
any other item prohibited by applicable law or our published policies.

You also agree not to:

post false, misleading, fraudulent, or deceptive content;
harass, threaten, abuse, defame, or harm other users;
collect or misuse other users’ personal information, or use the Platform to send spam or unsolicited marketing;
attempt to circumvent, disable, or interfere with the security, integrity, or proper functioning of the Platform;
use bots, scrapers, or automated means to access the Platform without our permission;
reverse engineer, copy, or create derivative works of the Platform; or
use the Platform for any unlawful purpose or in violation of these Terms.

8. User content

Your content. “User Content” means anything you submit through the Platform, including requests, offers, listings, photos, profile details, chat messages, ratings, and reviews. You are responsible for your User Content and represent that you have the rights to share it and that it does not violate these Terms or any law or third-party right.

Licence to us. You grant Briz a non-exclusive, royalty-free, worldwide licence to host, store, use, display, reproduce, and distribute your User Content as necessary to operate, provide, improve, and promote the Platform. This licence ends when your User Content is deleted, except where it has been shared with others who have not deleted it, or where we must retain it for the purposes described in our Privacy Policy or by law.

Ratings and reviews. You agree that ratings and reviews you submit are honest and based on genuine experience. We may remove content that violates these Terms.

Our right to moderate. We may, but are not obliged to, review, monitor, remove, or restrict User Content or accounts that we believe violate these Terms or applicable law, or that may harm users or the Platform.

9. In-app communication

The Platform provides in-app chat so Buyers and Sellers can communicate. You agree to use it lawfully and respectfully. As explained in our Privacy Policy, we store chat content for service delivery, safety, and dispute-handling purposes. Do not share sensitive personal or financial information through chat beyond what is necessary, and exercise caution when arranging in-person meetings or payments.

10. Location data

Briz relies on precise location to match Buyers with nearby Sellers. By using location-dependent features, you consent to our collection and use of your location as described in the Privacy Policy. You can control location permissions through your device settings, but disabling them may limit core functionality.

11. Fees

Use of the Platform is currently free for Buyers and Sellers. We may introduce fees or paid features in the future. If we do, we will provide notice and, where required, obtain your agreement before any fees apply to you. You will never be charged for a paid feature without clear prior notice.

12. Intellectual property

The Platform, including its software, design, text, graphics, logos, the “Briz” name and marks, and all related intellectual property, is owned by the Company or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose, subject to these Terms. You may not use our name, logos, or marks without our prior written permission.

13. Third-party links and services

The Platform may contain links to or integrations with third-party websites or services, including external store links shared by Sellers. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.

14. Disclaimers

To the maximum extent permitted by applicable law:

the Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement;
we do not warrant that the Platform will be uninterrupted, secure, error-free, or that requests will result in offers or that offers will result in completed transactions;
we make no warranty regarding any user, product, offer, listing, or representation made on the Platform; and
any material obtained through the Platform is accessed at your own discretion and risk.

Nothing in these Terms excludes or limits any rights you have under the Consumer Protection Act, 2075, or other mandatory provisions of Nepal law that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by applicable law:

Briz acts solely as an intermediary technology platform that enables Buyers and Sellers to connect and transact. Briz is not a party to any transaction between users and does not manufacture, own, store, inspect, guarantee, or endorse any product or service listed on the Platform.
Briz, the Company, and its directors, officers, employees, agents, and affiliates will not be liable for:
- any dispute, loss, claim, or damage arising between Buyers and Sellers;
- the quality, safety, legality, authenticity, availability, delivery, or condition of any product or service;
- the acts, omissions, misconduct, fraud, negligence, or unlawful conduct of any user or third party; or
- any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, or reputation arising out of or related to the use of the Platform.
To the maximum extent permitted by applicable law, Briz, the Company, and its directors, officers, employees, agents, and affiliates shall have no liability whatsoever for any claims, losses, damages, costs, expenses, liabilities, or disputes arising out of or relating to:
- any transaction, communication, agreement, or interaction between Buyers and Sellers;
- the quality, safety, legality, authenticity, availability, delivery, condition, or suitability of any product or service;
- the acts, omissions, misconduct, fraud, negligence, breach of contract, or unlawful conduct of any user or third party; or
- the use of, inability to use, reliance on, or performance of the Platform.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited under applicable Nepal law. In such cases, liability will be limited to the maximum extent permitted by law.

16. Indemnity

You agree to indemnify and hold harmless Briz, the Company, and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your User Content, your transactions with other users, your violation of these Terms, or your violation of any law or third-party right.

17. Suspension and termination

By you. You may stop using the Platform and close your account at any time.

By us. We may suspend or terminate your access to the Platform, with or without notice, if we believe you have violated these Terms or applicable law, created risk or harm to other users or the Platform, or for other legitimate operational or legal reasons.

Effect. Upon termination, your right to use the Platform ends. Provisions that by their nature should survive termination — including those on user content licences, disclaimers, limitation of liability, indemnity, and governing law — will survive.

18. Changes to the Platform and these Terms

We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time. When we make material changes, we will provide notice through the Platform or by other appropriate means and update the “Last updated” date. Your continued use after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

19. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Nepal, without regard to its conflict-of-law principles.

Subject to any mandatory consumer protection laws, the courts of Lalitpur, Nepal shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform.

Before initiating formal legal proceedings, the parties may attempt to resolve disputes amicably through good-faith discussions.

20. General

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements.

Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

Language. These Terms are provided in English. If we publish a translated version and there is any conflict, the English version prevails to the extent permitted by law.
